Implementation of absorption-type merger between subsidiaries and change of the succeeding company’s trade name for the reorganization of the metal wire business

Furukawa Elctric Industrial Cable Co., Ltd. (Head Office: 6-48-10 Higashi-Nippori, Arakawa-ku, Tokyo; Representative: Shigeru Tokuda), a wholly owned subsidiary of Furukawa Electric Co., Ltd. (Head office: 2-6-4 Otemachi, Chiyoda-ku, Tokyo; President: Hideya Moridaira), will change its trade name to Furukawa Electric Metal Cable Co., Ltd.™ on April 1 in connection with an absorption-type merger between the Furukawa Electric’s subsidiaries to be done as a part of the reorganization of the metal wire business.

Background

While the metal wire market in Japan has been changing, our Group has moved forward with the selection and concentration and produced differentiated products and promising products leveraging its technological advantage, along with making a shift in the portfolio. There are, however, emerging challenges such as the lack of talents and aging facilities.
Under such circumstances, in order to solve such challenges and promptly address increasingly diverse and sophisticated needs, the Group decided to integrate divisions engaged in the metal wire business.

In association with the absorption-type merger effective on April 1, where KANZACC Co., Ltd., our wholly owned subsidiary, disappears and Furukawa Electric Industrial Cable Co., Ltd. survives as an integrated company, Furukawa Electric Industrial Cable Co., Ltd. will change its trade name to Furukawa Electric Metal Cable Co., Ltd. With this integration, we will maximize synergy effects such as expanding sales channels by utilizing trade areas/commercial distribution, solving issues facing customers by leveraging each company’s technological advantage, and increasing competitiveness through efficient resource allocation, aiming at increasing corporate value of the entire Group. There is no change in the current sales/production bases and e-mail addresses of Furukawa Electric Industrial Cable and KANZACC.

Effective on October 1, 2025 (projected), through an absorption-type company split where the Company is the splitting company and Furukawa Electric Metal Cable is the successor company, the successor company will succeed to the business related to development, manufacturing and sales of metal wires in the Company’s Optical Fiber and Cable Products business division. Effective on the same day, through an absorption-type company split where Riken Electric Wire and Okano Cable, our wholly-owned subsidiaries, are the splitting companies and Furukawa Electric Metal Cable is the successor company, the successor company will succeed to Riken Electric Wire’s metal wire business, as well as shares of subsidiaries of Riken Electric Wire and Okano Cable, which operate metal wire business, held by these splitting companies respectively. While the Company plans a transition to a new corporate identify including the brand logo and brand slogan on the right by 2026, Furukawa Electric Metal Cable Co., Ltd. will start using the brand logo and brand slogan prior to the Company’s use.

As for Furukawa Electric Group’s brand logo and brand slogan, Furukawa Electric Co., Ltd. filed for trademark registration (currently pending).
